End-User License Agreement
This End-User License Agreement (hereinafter “Agreement”) is legal agreement between the licensee, or its legal representative (hereinafter “you”) and Eldes de Paula Oliveira (hereinafter “Licensor”), and is applicable to the Font Software specified above (hereinafter “Font”) which is accompanied by the Agreement or that you have ordered.
By downloading the Font or opening the package, the Licensee agree to be bound by the terms of this Agreement. If the Licensee do not agree to the terms of this Agreement, do not download, install, or use the Font. If the Licensee have purchased a License to use the Font Software in a sealed retail package and do not agree to the terms of this Agreement, return it unopened to the place of purchase.
1. Definitions
“Font” means a software that generates typeface designs when used with appropriate hardware and software.
“Device” means a hardware, software, or firmware component to which an User can give commands (whether by keyboard or otherwise), regardless of the locations of the individual, the Device, or the Font.
“User” means an individual giving commands (whether y keyboard or otherwise) to a Device on which the Font is installed, regardless of the locations of the individual, the Device, or the Font.
“Licensed Unit” means the number of simultaneous Users permitted by the License to use the Font at a single geographic location. A single geographic location is the site of your place of business. The geographic restriction does not apply to portable computers if they are owned you.
2. Grant of License
2.1 Number of users
Licensor grants Licensee a non-exclusive license to use the Font in a Licensed Unit for your own personal or business purposes according to the terms of this Agreement. If the Licensee intend that more Users than permitted by the Licensed Unit should simultaneously use Devices on which the Font is installed, the Licensee should purchase an additional License Unit of the correct size to cover the shortfall. The Licensed Unit is specified in your invoice, receipt, or license extension.
2.2 Embedding
The Licensee may embed the Font in documents, applications, or devices either as a rasterized representation of the Font (e. g., a GIF or JPEG) or as a subset of the Font if the document, application, or device is distributed in a secure format the permits only the viewing and printing but not the editing of the text. The Licensee need an additional license from Licensor or its Distributors for the use of the Font in documents, applications or devices permitting editing of the text, if such documents, applications, or devices shall be distributed to third parties or if the Font is embedded neither as a subset nor as a rasterized representation.
This Agreement does not allow you embed the Font:
- On a website using @fontface CSS;
- In server based applications used by remote users;
- In iOS, Android, or Windows RT apps;
- An eBook type publication.
For these types of use you must request from Licensor or its Distributors an appropriate license. An additional fee may be charged for this license extension.
2.3 Back-up
You may make back-up copies of the Font for archival purposes only, provided that you retain exclusive custody and control over such copies.
2.4 Service bureaus
You may take a digitized copy of the Font used in a particular document to a commercial printer or service bureau for outputting a particular document (that document must not be edited by the commercial printer or service bureau). In the event of any modifications to the document or use of the Font for other purposes, the commercial printer or service bureau must purchase its own Font licenses.
The Licensee may provide the Font to a graphic designer, commercial printer or other service bureau that is working on your behalf only if they agree to use the font exclusively for your work, agree to the terms of this license, and retain no copies of the Font on completion of the work.
2.5 Copying
Except as granted in 2.2 to 2.4, the Licensee may not copy the Font or allow third parties to copy the Font. Any copy of the Font must contain the same copyright, trademark, and other proprietary information as the originals.
2.6 Modifications
Except as granted in 2.2, the Licensee may not modify, adapt, translate, reverse engineer, decompile, disassemble, alter, or attempt to discover the source code of the Font. If Licensee want to make modifications to the Font, you must obtain the prior written consent of Licensor.
3. Ownership
The Font, and all copies thereof, is protected by the Brazilian Copyright Law, by the copyright and designs laws of other nations, and by international treaties. Any copyright, trademark and other rights belong exclusively to Licensor, except as expressly provided in 2.1. The Licensee do not gain the ownership of the Font under this Agreement. The structures, organization, and the code of the Font are trade secrets of Licensor, and you agree to treat them as such.
4. Transfer of License
Except as expressly provided herein, you may not give, rent, or lease the Font or parts of it to third parties. You may transfer all your rights to use the Font and Documentation to another person or legal entity provided that the transferee accepts and agrees in writing (with copy to Licensor) to be bound by all the terms and conditions of this Agreement, and you destroy all copies of the Font and Documentation, including all copies stored in the memory of a hardware device. Without limiting the generality of the foregoing, you agree that you will not distribute or disseminate all or any part of the Font through any online service.
5. Warranties
Licensor warrants to you that de Font will perform substantially in accordance with the Documentation for the 90 (ninety) days period following your receipt of the Font. To make a warranty claim, you must return the Font to the location from which you obtained it along with a copy of your sales receipt within such 90 (ninety) days period. If the Font does not substantially in accordance with the Documentation, the entire and exclusive liability and remedy shall be limited to either, at Licensor’s option, the replacement of the Font or the refund of the license fee you paid for the Font. Licensor and its suppliers do not and cannot warrant the performance or results you may obtain by using the Font or Documentation. The foregoing states the sole and exclusive remedies for Licensor’s or its suppliers’ breach of warranty. Except for the foregoing limited warranty, Licensor and its suppliers make no warranties express or implied, as to non-infringement of third-party rights, merchantability, or fitness for any particular purpose. In no event will Licensor or its suppliers be liable to you for any consequential, incidental, or special damages, including any lost profits or lost savings, even if Licensor representative has been advised of the possibility of such damages, or for any claim by any third party. This warranty does not affect any claims you might have against your retailer.
6. Governing Law
The laws of Brazil will govern this Agreement. You agree that the Font will not be shipped, transferred, or exported into any country or used in any manner prohibited by the applicable export laws, restrictions, or regulations of Brazil. This Agreement may only be modified in writing signed by the Licensor.
7. Termination
Licensor has the right to terminate your license immediately if you fail to comply with any term of this Agreement. Upon termination, you must destroy the original and any copies of the Font and Documentation.
8. General provisions
The Licensee agree to inform all users who have access to the Font about the content of this Agreement and to make sure that they comply with the terms of this Agreement.
